1 Acceptance of Terms & Corporate Identity

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether an individual caregiver, healthcare job seeker, healthcare facility representative, or casual website visitor) and Divine Fingers Health Care Services Inc. (Corporation Number: 1592082-5), having its principal business address at 17-2 Dailing Gate, Scarborough, ON M1B 1Z8, Canada ("Divine Fingers", "Agency", "we", "us", or "our").

By accessing or browsing this website (divinefingershealthcareservice.ca), requesting temporary or permanent staffing relief, registering for client or clinician portal access, or submitting clinical employment applications, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2 Scope of Health Care Staffing Services

Divine Fingers Health Care Services Inc. operates as a specialized medical staffing, workforce recruitment, and community care nursing relief agency across Ontario and Canada. Our primary operational capabilities encompass:

• Clinical Facility Relief: Dispatching credentialed Registered Nurses (RN), Registered Practical Nurses (RPN), and Personal Support Workers (PSW) to long-term care homes, hospitals, hospices, and specialized medical clinics.
• Travelling Nursing Program: Providing licensed travel nurses and healthcare staff for rapid response and short/long-term regional coverage across Canadian provinces.
• Community & Home Care: Providing dedicated in-home support, respite care, companion aid, and non-emergency personal support.
• Emergency 2-Hour Surge Coverage: Providing expedited clinical staff dispatch to affiliated facilities facing urgent unexpected shift vacancies.

3 Healthcare Facility Client Terms (Staffing Agreements)

When a healthcare facility, retirement residence, hospital, or corporate partner ("Facility Client") engages Divine Fingers for staffing relief or shift requests:

• Master Services Agreement (MSA): Individual shift rate cards, premium holiday surcharges, shift cancellation parameters, and billing frequencies are governed by the executed Master Services Agreement or facility quote confirming rates.
• Clinical Supervision & Direction: Clinicians dispatched by Divine Fingers operate under the administrative on-site direction, floor orientation, clinical protocols, and workplace safety policies of the host Facility Client.
• Safe Work Environment: Facilities agree to maintain safe, hazard-free environments complying with the Ontario Occupational Health and Safety Act (OHSA) and applicable public health infection control protocols.
• Shift Cancellation Policy: Shift cancellations must be communicated to our 24/7 dispatch desk within the advance cancellation window specified in your facility agreement (standard minimum: 4 hours advance notice). Cancellations submitted within the surge window may incur scheduled base cancellation fees.

4 Clinicians, Job Seekers & Regulatory Compliance

Healthcare professionals submitting resumes, applications, or credentials to Divine Fingers represent and warrant that:

• Good Standing: All nurses possess active, unencumbered certificates of registration with the College of Nurses of Ontario (CNO) or applicable provincial regulatory bodies.
• Truthful Credentials: All resumes, diplomas, CPR/BLS certifications, N95 fit-test certifications, and clinical experience summaries submitted are genuine, verifiable, and complete.
• Vulnerable Sector Screening (VSS): Clinicians agree to maintain a clean Vulnerable Sector Police Record Check and mandatory immunization/TB clearances in compliance with Ontario healthcare facility standards.
• Professional Code of Conduct: All agency caregivers commit to delivering compassionate, patient-centered care upholding the CNO Professional Standards and Ethical Framework at all times.

5 Digital Portal Access & Account Safeguards

Authorized facility clients, clinicians, and administrative operators accessing our digital portal environments (portal.html and admin) agree to:

• Safeguard their account passwords and multi-factor authentication passcodes with strict confidentiality.
• Never share credentials, allow unauthorized third-party access, or attempt to bypass role-based security permissions.
• Promptly notify Divine Fingers Information Security (info@divinefingershealthcareservice.ca) upon suspecting any unauthorized credential compromise or session anomaly.
• Acknowledge that all portal activities, shift confirmations, and administrative transactions are cryptographically logged for clinical compliance and audit requirements.

6 Intellectual Property Rights

All proprietary website content, branding logos, trade names ("Divine Fingers Health Care Services Inc."), custom user interfaces, digital graphics, source code, and design architecture are the exclusive intellectual property of Divine Fingers Health Care Services Inc. and are protected under Canadian copyright, trademark, and intellectual property statutes. Reproduction, extraction, or scraping of content without prior express written authorization is strictly prohibited.

7 Limitation of Liability

To the maximum extent permitted by applicable Ontario and Canadian law:

• Divine Fingers shall not be liable for indirect, incidental, special, consequential, or punitive damages resulting from website downtime, scheduled maintenance, or delays caused by labor shortages, inclement weather, municipal transit disruptions, or acts of God beyond reasonable control.
• Our liability for any verified claim arising from temporary staffing engagement shall not exceed the total fees paid or payable by the client for the specific shifts giving rise to liability.

8 Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceeding, dispute, or claim arising under these Terms shall be instituted exclusively before the courts of competent jurisdiction located in the City of Toronto, Province of Ontario, Canada.
